Terms of Service

Note on this document. These Terms of Service are provided by Holy Toast LLC for informational purposes and to satisfy app-store and SMS-compliance disclosure requirements. They are not legal advice, and reading them does not create an attorney-client relationship. They were drafted with the assistance of AI tooling and reviewed by Holy Toast LLC personnel, but have not been reviewed by a licensed Florida attorney as of the "Last updated" date above. If you are relying on any specific clause for a legal decision, please consult your own counsel. Holy Toast LLC will update this document after attorney review and post the revised version at the same URL.

These Terms of Service ("Terms") are a legal agreement between you and Holy Toast LLC ("Holy Toast," "we," "us," or "our"). By creating an account or using the Holy Toast mobile app (the "App"), you agree to these Terms.

If you don't agree, please don't use the App.

1. Who can use the App

You must be at least 13 years old to use the App. If you are under 18 (or the age of majority where you live), you may only use the App with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your account.

You must provide accurate information when you sign up. You're responsible for maintaining the security of your account credentials. We're not liable for losses arising from someone else accessing your account if you didn't take reasonable steps to protect your password.

2. Orders and payments

Pricing

All prices are shown in U.S. dollars and include applicable Florida sales tax. Tip amounts you select are in addition to the order subtotal and tax.

Payment authorization

When you place an order, you authorize us (and our payment processor, Stripe) to charge your payment method for the order total, including tax and tip.

Stripe terms

Payments are processed by Stripe and are subject to the Stripe Connected Account Agreement and Stripe Services Agreement (collectively, the "Stripe Terms"). By using the App to place orders, you agree to be bound by the Stripe Terms.

Order availability

We accept orders during posted store hours. We may decline an order if:

• Items are unavailable
• Your payment fails
• We suspect fraud
• The order violates these Terms

Pickup and timing

Order pickup is at the Holy Toast location you selected. Estimated ready times are estimates, not guarantees. Real-world prep time varies with order volume.

Cancellations and refunds

You can cancel an order through the App if the kitchen hasn't started preparing it. Once cancellation is confirmed, we'll refund the full amount to your original payment method (typically 5–10 business days).

If you have a quality issue with food you've already received, contact the store directly or email holytoastmiami@gmail.com — we'll handle it case-by-case.

We are not obligated to refund orders you didn't pick up unless we made an error.

3. Holy Club loyalty program

How points work

You earn Holy Points on each qualifying order. Points can be redeemed for free items in the Rewards catalog. Point amounts and reward costs may change over time.

Streak multipliers

Maintaining a streak of consecutive days with qualifying activity unlocks a points multiplier (currently 1x baseline / 1.5x at 7 days / 2x at 14 days). Streak rules may change; we'll notify you in the App if they do.

Referral bonuses

You can share a referral code with friends. When a referred friend places their first paid order, both of you receive a bonus point credit.

Cash value

Holy Points are a promotional loyalty credit, have no cash value, and are not transferable except via the explicit in-app transfer feature. Points cannot be redeemed for cash. Holy Points are not a "gift certificate" or "credit memo" under Florida Statutes § 501.95 and are not "unclaimed property" under Florida Chapter 717.

Forfeiture

Points may be forfeited if:

• Your account is closed (by you or by us for violation of these Terms)
• Your account has had no qualifying activity for 24 consecutive months, and we have sent at least one reminder email or in-app notice to the address on file at least 30 days before forfeiture (you can reactivate at any time before the 30-day window closes by signing in or placing an order)
• We have reason to believe you're abusing the program (creating fake accounts, gaming streaks, etc.)

Program changes

We may modify or end the Holy Club program at any time. Material changes will be announced in the App with at least 30 days' notice; we'll honor any earned-but-unredeemed points during the notice period.

4. Photos and content you share

When you upload a photo to the community feed, you keep ownership of the photo, but you grant Holy Toast a worldwide, royalty-free, non-exclusive, sublicensable (only to our service providers acting on our behalf) license to host, store, reproduce, display, and adapt the photo:

(a) within the App and the Holy Club program, and

(b) in Holy Toast's own social media, website, and in-store marketing,

in each case with attribution to your displayed name. The license for external marketing use ends when you delete the photo or your account, except for copies already incorporated into materials produced before deletion.

You agree that:

• The photo is yours or you have permission to share it
• The photo doesn't violate anyone else's rights (privacy, copyright, etc.)
• The photo doesn't contain offensive, illegal, or otherwise inappropriate content

We may remove any post at our discretion (typically because it violates this section). Approved posts earn loyalty points; rejected posts don't.

5. What you can't do

You agree not to:

• Use the App for anything illegal
• Try to break, hack, or reverse-engineer the App
• Resell access to the App or to your Holy Club account
• Create multiple accounts to game referral bonuses or streak rewards
• Use automated scripts, bots, or scrapers
• Submit fake or fraudulent payment information
• Post content that's offensive, harassing, defamatory, or infringing
• Misrepresent who you are
• Interfere with other users' use of the App

If we believe you've violated these Terms, we may suspend or terminate your account and forfeit any unredeemed points.

6. Intellectual property

The App, the Holy Toast brand, logos, recipes, menu, photos in the gallery, and software are owned by Holy Toast LLC and our licensors. You don't get any ownership rights — just a limited, revocable license to use the App for personal, non-commercial purposes.

7. Food allergens and safety

The Holy Toast menu is prepared in a kitchen that handles common allergens including wheat, eggs, milk, soy, peanuts, and tree nuts. Cross-contact is possible. Allergen information shown in the App may lag actual kitchen ingredients during recipe changes or supplier substitutions. Always confirm allergens at the counter before consuming food if you have a serious allergy. Holy Toast is not liable for allergic reactions caused by undisclosed or substituted ingredients beyond our reasonable control.

8. Accessibility

We strive to make the App usable by everyone, including users with disabilities. If you encounter a feature that's not accessible to you with assistive technologies, please email holytoastmiami@gmail.com so we can address it.

9. Disclaimers

The App is provided "as is" and "as available." We don't guarantee the App will be uninterrupted, error-free, or secure. We don't warrant that menu items shown in the App will be available at any specific time.

To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We're not responsible for:

• Allergic reactions caused by undisclosed ingredients (always confirm allergens at the counter — see Section 7)
• Delays or order issues caused by third parties (Stripe, Apple, Twilio, your internet provider, our delivery partners)
• Any consequences of using the App during driving or other unsafe activities

10. Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the App.
• Our total liability for any claim arising from these Terms or the App is limited to the greater of (a) $100, or (b) the amount you paid Holy Toast in the 12 months before the claim arose.

Some jurisdictions don't allow limitations on certain damages, so these limits may not apply to you.

11. Disputes

Governing law

These Terms are governed by Florida law. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida.

Informal resolution first

Before suing us, please email holytoastmiami@gmail.com with a description of the dispute. We'll try to resolve it informally within 30 days.

Class action waiver

You agree to bring any claim against Holy Toast individually, not as part of a class or representative action. If the class action waiver in this Section 11 is found unenforceable, the rest of this Section 11 remains in force, and the unenforceable portion will be severed.

12. Apple App Store

You acknowledge that these Terms are between you and Holy Toast, not Apple. Apple is not responsible for the App or its content, has no obligation to provide maintenance or support, and is not party to any warranty. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. The App may only be used on Apple-branded devices that you own or control and that comply with Apple's terms of service.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be flagged in the App with at least 14 days' notice. Continued use after the notice period means you accept the updated Terms.

14. Termination

You can stop using the App at any time and request account deletion in-app (Profile → Delete Account) or via holytoastmiami@gmail.com.

We may suspend or terminate your account immediately if you violate these Terms or applicable law, or for any other reason on at least 14 days' notice.

Upon termination:

• Your access to the App ends
• Your data is handled per our Privacy Policy (PII anonymized; financial records retained 7 years)
• Earned-but-unredeemed points are forfeited (unless we're terminating without your fault — in which case we'll honor a 60-day redemption window)

15. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms (together with our Privacy Policy) are the entire agreement between you and Holy Toast regarding the App and supersede any prior agreements.
